1. Definitions & Application

These Terms and Conditions (“Terms”) apply to all quotations, sales, supplies, deliveries and services provided by Seamless Coatings Pty Ltd ACN 20 684 922 950 (“Seamless Coatings”, “we”, “us”, “our”) to the Customer.

Customer means any person or entity requesting or receiving goods or services and includes their agents, representatives, successors and assigns.

These Terms apply to all works including, without limitation:

• Concrete resurfacing and overlays

• Epoxy flooring systems (including 100% solids epoxy)

• Polyurethane, polyaspartic and resin coatings

• Decorative flake and quartz systems

• Sealers, membranes and waterproofing systems

• Surface preparation, grinding, crack repairs and remedial works

2. Acceptance & Priority of Terms

2.1 Acceptance of these Terms occurs when the Customer:

• requests or accepts a quotation;

• places an order (verbally or in writing);

• pays a deposit;

• allows commencement of works; or

• accepts delivery or completion of services.

2.2 These Terms constitute the entire agreement and prevail over all other documents, including purchase orders, specifications or verbal agreements, unless expressly agreed in writing by Seamless Coatings.

2.3 Any purported acceptance on alternative terms by the Customer is expressly rejected.

3. Quotations, Scope & Variations

3.1 All quotations are estimates only and based on visible site conditions at the time of inspection.

3.2 Seamless Coatings reserves the right to vary the scope and price where unforeseen conditions arise, including but not limited to:

• excessive moisture levels;

• rising damp or hydrostatic pressure;

• substrate contamination or failure;

• poor or non-compliant concrete;

• structural movement or cracking;

• additional surface preparation requirements.

3.3 Any variation requested by the Customer or required due to site conditions will be charged at current rates and is payable immediately.

4. Scheduling, Delays & Force Majeure

4.1 All commencement and completion dates are estimates only.

4.2 Seamless Coatings is not liable for delays caused by:

• weather or temperature conditions;

• moisture readings or curing requirements;

• access restrictions;

• third-party contractors or trades;

• supply chain disruptions; or

• events beyond our reasonable control.

4.3 Delays do not constitute grounds for cancellation, compensation or liquidated damages.

5. Deposits, Payments & Title

5.1 A non-refundable deposit is required to secure booking dates.

5.2 50% of the total contract value is payable on Day 1 of site preparation, unless otherwise agreed in writing.

5.3 The balance is payable immediately upon completion.

5.4 Seamless Coatings may suspend or terminate works if payment is not made when due, and all outstanding monies become immediately payable.

5.5 Title to all goods remains with Seamless Coatings until payment is received in full.

6. Cancellations

6.1 If the Customer cancels the works for any reason:

• all costs incurred to date are payable;

• a 30% cancellation fee of the total quoted value applies; and

• all custom-ordered materials are payable in full.

6.2 Deposits are non-refundable except where Seamless Coatings cancels without fault by the Customer.

7. Site Access, Services & Indemnity

7.1 The Customer must provide:

• clear, unrestricted and safe access to the site;

• continuous supply of water and power at no cost.

7.2 The Customer indemnifies Seamless Coatings against all claims, loss, damage or injury arising from:

• unsafe site conditions;

• inadequate access;

• failure or interruption of water or power supply.

7.3 Seamless Coatings is not liable for incidental damage to driveways, paths, landscaping, walls or surrounding surfaces caused by necessary access or equipment.

8. Substrate, Concrete & Epoxy Limitations

8.1 The Customer acknowledges that concrete, epoxy and coating systems rely heavily on substrate condition and environmental factors.

8.2 Seamless Coatings provides no guarantee regarding:

• exact colour match or uniformity;

• absence of pinholes, bubbles or surface texture variations;

• performance where moisture levels exceed manufacturer limits.

8.3 Seamless Coatings is not liable for failures caused by:

• moisture ingress, rising damp or hydrostatic pressure;

• salt attack or efflorescence;

• substrate movement or cracking;

• chemical exposure;

• poor original concrete workmanship;

• third-party interference or contamination.

9. Epoxy Flooring – Specific Exclusions

9.1 Epoxy and resin flooring systems are non-breathable and highly sensitive to moisture.

9.2 Moisture testing provides indicative results only and does not guarantee long-term moisture stability.

9.3 Seamless Coatings is not liable for epoxy failure resulting from:

• moisture vapour transmission;

• slab saturation;

• groundwater pressure;

• changes in site drainage or environment post-installation.

9.4 The Customer accepts that epoxy systems may require additional moisture barriers at extra cost.

10. Curing, Use & Maintenance

10.1 All resurfacing and epoxy systems require curing.

10.2 The Customer acknowledges that surfaces remain vulnerable for up to 35 days post-completion.

10.3 Seamless Coatings accepts no liability for damage caused by premature use, impact, abrasion, chemical exposure or lack of maintenance.

11. Warranty – Limited

11.1 Seamless Coatings provides a 15-year limited warranty covering:

• peeling;

• natural surface chipping;

• surface cracking;

• fading or whitening caused by product failure only.

11.2 Warranty conditions:

• installation and sealing must be performed by Seamless Coatings;

• re-sealing must occur within the recommended timeframe (typically 18 months–3 years);

• confirmation must be recorded on the invoice or in writing.

11.3 Warranty exclusions include:

• structural cracking;

• moisture-related failures;

• salt exposure;

• third-party repairs or modifications;

• lack of maintenance or re-sealing.

11.4 Any third-party involvement voids the warranty entirely.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, Seamless Coatings’ liability is limited to:

• re-supply of the affected services; or

• refund of the portion of works giving rise to the claim.

12.2 Seamless Coatings is not liable for:

• indirect or consequential loss;

• loss of profit or use;

• rectification works performed by others.

13. Call-Outs & Repairs

13.1 Post-completion service call-outs incur a $110 flat fee.

13.2 If repair costs exceed $100, a separate quotation will apply.

13.3 Repairs outside warranty scope constitute a new contract.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria.
